1. About This Platform
This platform, including the web portal, mobile application, administrative interfaces, and associated services (collectively, the “App” or “Service”), is operated by GH Newco 1 Limited (trading as Ommatia) (“we,” “us,” or “our”), whose registered address is at 4 Greengate, Cardale Park, Harrogate, HG3 1GY.
Ommatia provides an end-to-end Quality Assurance (QA), property maintenance, and statutory compliance software application designed primarily for the construction and social housing sectors, including Public Housing Associations, Council Housing Associations, local authorities, contractors, and residents.
2. Acceptance of Terms
By accessing, registering for, or using this Service, you accept and agree to be bound by these Terms of Use. If you are accessing or using the Service on behalf of a company, Housing Association, local authority, or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not agree, please do not access or use the App.
3. Use of the Platform and Account Security
You may use this Service for lawful property management, quality assurance, site inspection, and housing compliance purposes only.
Permitted Use: You must not use the App in any way that breaches any applicable local, national, or international law or regulation, or in any way that is unlawful, fraudulent, or harmful to others.
Prohibited Access: You must not attempt to gain unauthorised access to our App, user accounts, system infrastructure, or any server, computer, or database connected to the Service.
Account Responsibility: Users are responsible for maintaining the confidentiality of their login credentials. You are fully responsible for all activity occurring under your account and must notify us immediately at Info@ommatia.co.uk upon suspecting any unauthorised access.
Content Warranties: You confirm that all content, data, site photos, videos, and media uploaded to the App are legally owned by you or that you hold appropriate licences and consents to process such media within the Service.
4. Intellectual Property
All software, platform infrastructure, source code, visual AI quality scoring algorithms, database architectures, interface designs, text, graphics, logos, images, and visual materials on this Service are the property of GH Newco 1 Limited (trading as Ommatia) or its licensors and are protected by United Kingdom and international copyright, trademark, software patent, and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable right to access and use the App solely for your authorised housing management or compliance purposes. You may not reproduce, distribute, reverse engineer, modify, or create derivative works from any part of the Service without our prior written consent.
The Ommatia name and logo are trademarks of GH Newco 1 Limited. Nothing on this platform grants you any licence or right to use any trademark without our prior written permission.
(Note: Clients retain full ownership rights over their raw property data, inspection media, and tenant reports uploaded to the App.)
5. Platform Features and Visual AI Information
The content, software tools, digital audit trails, and automated visual AI quality scores (e.g., scores out of 100 and defect classifications) provided on this Service are designed to assist housing managers, site inspectors, and contractors in streamlining property maintenance and statutory compliance.
Decision Support: Automated visual AI scores and statutory reasoning flags serve as operational decision-support tools. They are designed to assist on-site evaluations, but final legal, statutory, and contractual sign-offs remain the responsibility of authorised human personnel.
Service Availability: While we make reasonable, commercial efforts to ensure continuous uptime and operational accuracy, we do not warrant that the Service will be completely uninterrupted, error-free, or fully up to date at all times.
6. Limitation of Liability
To the extent permitted by law, we exclude all conditions, warranties, representations, and other terms that might otherwise be implied by statute, common law, or equity regarding the operation of the App.
We will not be liable for any loss or damage arising from your use of, or inability to use, this Service, including any indirect or consequential loss, loss of data, loss of profit, loss of contract, or loss of business opportunity. Where our total liability cannot be excluded, it shall be strictly limited to the amount paid by your organisation for access to the Service in the 12-month period preceding the claim.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
7. Third-Party Links and Integrations
This Service may contain links to or integrate with third-party platforms (such as external contractor tools, local authority portals, or housing management software). These links and APIs are provided for your convenience only. We have no control over the content, functionality, or privacy practices of those external sites or tools and accept no responsibility for them or for any loss or damage that may arise from your use of them.
8. Viruses and IT Security
We implement robust technical security measures to protect the Service, but we do not guarantee that the App will be free from software bugs, security vulnerabilities, or viruses. You are responsible for configuring your IT infrastructure, hardware, and mobile devices, as well as using your own up-to-date cybersecurity and antivirus software.
9. Changes to These Terms
We may revise these terms at any time by amending this page or issuing an update through the App. Please check this page or system notices regularly to take notice of any changes, as your continued use of the App following an update indicates your acceptance of the revised terms.
10. Governing Law
These terms are governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
